This includes a checklist and a skeleton licence. Have a look at this and think about what might be the three most important things to pick up. What factors influence your answer?
Hint: What is the most important priority of the business in question and who are you acting for? Are you looking for a certainty in relation to payments or to take a risk on success? Do you think there will be improvements in the technology? Do you want a short or a long term relationship? How much do you trust the other party and what are your respective strengths and weaknesses? Might this arrangement be part of a wider suite of agreements and collaboration?
